Persistent Systems to acquire Nagarro in $1.45bn deal

Persistent Systems has agreed to acquire all shares of Germany-based digital engineering firm Nagarro in a deal worth approximately €1.27 billion, or $1.45 billion. The Indian technology company launched a voluntary public takeover offer at €81 per share in cash, representing a premium of about 140% to Nagarro's undisturbed closing share price on 25 June 2026. Persistent has already secured an approximately 21% stake through a share purchase agreement with Nagarro's largest shareholder, Lantano Beteiligungen. The offer is being made through a Persistent subsidiary for all outstanding Nagarro shares, and Nagarro's management and supervisory boards intend to recommend shareholders accept it. The combined group is expected to become the world's second-largest digital engineering company by revenue, with an annualised revenue run-rate of over $2.9 billion and more than 46,000 employees across 40 countries.

Persistent Systems subsidiary launches €81 per share takeover offer for Nagarro

Galaxy Germany Holding SE, a wholly-owned subsidiary of Persistent Systems Limited, has announced a voluntary public takeover offer for all outstanding shares of Nagarro SE at €81 per share in cash. The offer represents a premium of approximately 140% over Nagarro's undisturbed closing price on June 25, 2026. Nagarro's Management and Supervisory Board have expressed strong support, and Persistent has already secured an approximately 21% stake, including a binding commitment from the largest shareholder and intentions from Management Board members to tender their shares. The offer is subject to a minimum acceptance threshold of 50% plus one share of all outstanding Nagarro shares, inclusive of those committed. Persistent expects to launch the offer after BaFin approval, with closing anticipated in the fourth quarter of 2026 or first quarter of 2027, and plans to pursue a delisting of Nagarro from the Frankfurt Stock Exchange's Prime Standard as soon as feasible.
