Banzai International has priced a firm commitment underwritten public offering expected to generate approximately $0.9 million in gross proceeds before underwriting fees and other expenses. The offering consists of 327,273 shares of Class A common stock at a public offering price of $2.75 per share, with closing anticipated on or about July 14, 2026, subject to customary conditions. The company intends to use the net proceeds for working capital and general corporate purposes.
