Reverse stock split to regain Nasdaq compliance; no direct operational impact.

Bit Origin announced a 1-for-5 reverse stock split of its Class A and Class B ordinary shares, with split-adjusted trading beginning August 21, 2026. The move is intended to help regain compliance with Nasdaq’s $1 minimum bid-price requirement. Outstanding Class A shares are expected to fall from about 4 million to 800,000, while Class B shares will decline from about 105,000 to 21,000. Bit Origin also amended its corporate documents to reduce authorized shares and adjust the post-split par value.
