Celestial Acquisition Corp. has announced the proposed board of directors for the resulting issuer following its qualifying transaction with Nokia’s Space Communication Solutions business, Modul8, and provided an update on the concurrent C$56.7 million (US$40 million) brokered private placement. The proposed board includes Kevin Ford as chair, alongside Chris Hadfield, Erin O’Toole, and Laura Price, all independent, with John Dow as CEO and director. The financing, led by Scotiabank and ATB Capital Markets, will be conducted through subscription receipts priced at C$3.40 each, with proceeds intended for capital investments and working capital. Upon completion, Nokia’s subsidiary NSN will hold approximately 40.67% of the resulting issuer, which will be renamed Modul8 Corporation and listed on the TSX Venture Exchange as a Tier 1 issuer.
