COSCIENS Biopharma announced that its share capital amendment, approved by shareholders on June 17, 2026, will become effective on July 3, 2026. The amendment consists of a 1-for-150 consolidation of common shares followed immediately by a 50-for-1 split, resulting in a net reduction of pre-consolidation holdings by a factor of three for shareholders holding 150 or more common shares. Shareholders with fewer than 150 common shares as of the effective date will instead receive cash consideration of US$1.60 per pre-consolidation share. The common shares are expected to begin trading on the Toronto Stock Exchange on a post-amendment basis within two business days of the effective date under the same symbol CSCI. The company also plans to file a Form 15 with the U.S. Securities and Exchange Commission to suspend its U.S. reporting obligations.
