Verisk Analytics IncCourt orders Verisk to complete $2.35B acquisition, shares fell 6.5%

A Delaware judge has ordered Verisk Analytics to complete its $2.35 billion acquisition of AccuLynx, ruling that the company's termination of the deal was invalid. The ruling by Judge Bonnie David on August 7 found that Verisk's own willful conduct caused the failure of the closing condition it sought to invoke, and the court awarded AccuLynx $3.85 million in direct expenses and prejudgment interest. Verisk had agreed to buy the roofing-contractor software platform in July 2025, but walked away in December 2025 after the Federal Trade Commission's antitrust review extended past the deal's deadline. Verisk said it strongly disagrees with the verdict and is considering an appeal, while its shares fell more than 6.5% following the judgment.
