Deluxe has entered into a definitive agreement to acquire financial technology company Celero Commerce for $625 million in an all-cash transaction, plus payment of certain seller transaction expenses and other adjustments. The deal is expected to close in the third quarter of 2026, subject to regulatory approvals and customary conditions, and will be funded through committed debt financing including a $375 million incremental Term Loan A and drawing on Deluxe's existing revolving credit facility. Post-closing, Deluxe's combined Payments and Data segments are projected to represent 57% of 2026 pro forma revenues, up from 31% in 2020, with the merged entity processing approximately $70 billion in combined gross transaction volume in 2025, making it one of the 10 largest non-bank merchant acquirers in the United States. The transaction is expected to be accretive to adjusted EPS in the first year following closing, expand revenue growth and adjusted EBITDA margin rates, and generate over $15 million in anticipated cost synergies fully realized within 24 months, while Celero itself delivered over $200 million in 2025 revenue with a 28% adjusted EBITDA margin. Deluxe reaffirmed its existing 2026 full-year guidance, which does not include the impact of the pending acquisition, and expects to provide updated guidance after closing.
