Embecta Corp. is facing a securities class action lawsuit on behalf of investors who purchased or acquired Embecta common stock between November 25, 2025 and May 4, 2026. The lawsuit alleges that the company misled investors by repeatedly assuring stability and resilience in its pen needle business, which historically comprised over 70% of total revenues, while concealing known competitive threats. On May 5, 2026, Embecta reported second-quarter adjusted earnings per share of $0.27, a roughly 61% sequential and year-over-year decline, and slashed its full-year adjusted EPS guidance to a range of $1.55 to $1.75, down about 43% at the midpoint, while also cutting its dividend by 93% to just $0.01. The complaint claims that Embecta knew or recklessly disregarded that weaknesses in the pen needle market would significantly disrupt its annual guidance and quarterly results.
