Summary · why it matters

Focus Graphite Inc. has established a secured revolving line of credit facility of up to C$2.0 million with Canadian Imperial Bank of Commerce. The facility is intended to bridge the timing between the company's payment of eligible project expenditures and the receipt of corresponding government contributions under more than C$15 million in previously announced non-dilutive federal funding. That funding includes up to approximately C$14.1 million in non-repayable support from Natural Resources Canada under the Global Partnerships Initiative, announced December 8, 2025, and up to C$1,378,700 under NRCan's First and Last Mile Fund, announced June 3, 2026. Amounts drawn bear interest at CIBC's Prime Rate plus 2.00% per annum, are repayable on demand, and are secured by a first security interest over the company's present and after-acquired personal property, supported by an unlimited guarantee from the Chairman of Focus Graphite. No common shares, warrants or other securities were issued in connection with the facility, which Chief Executive Officer Dean Hanisch said gives Focus greater financial flexibility without issuing equity or warrants as it advances the Lac Knife Graphite Project and downstream graphite purification programs.
