Galiano Gold IncAmendments to equity incentive plan to align with ISS policies, but impact depends on shareholder vote outcome.

Galiano Gold announced that its Board of Directors approved amendments to the company's proposed Omnibus Equity Incentive Plan, incorporating suggestions from Institutional Shareholder Services to align with current corporate policies. The revisions require formal shareholder approval for actions such as extending stock option terms, reducing exercise prices, or permitting option transfers, and impose tighter restrictions on amendments related to non-employee director participation and the Board's discretionary power to modify the plan without investor input. The amended plan has been filed with SEDAR+ and the US Securities and Exchange Commission, replacing the previous April version. Shareholders will vote on the revised plan at the Annual General & Special Meeting scheduled for June 11, with the Board recommending a vote in favor.
