Guolian Aquatic's controlling shareholder, Xinyu Guotong, plans to transfer 64,022,179 shares, representing 5.67% of the company's total share capital, to Yiyang Gaoxin Agricultural Development Co., Ltd. through a negotiated transfer. The two parties have signed a share transfer agreement. The transfer price is set at 80% of the closing price on the trading day before the agreement signing date, a discount of 20%, or 2.304 yuan per share, with a total transfer value of approximately 148 million yuan. Gaoxin Agriculture is wholly owned by Hunan Qingxi Cultural Tourism Development Group Co., Ltd., and its actual controller is the State-owned Assets Supervision and Administration Commission of the Yiyang Municipal People's Government. This equity change will not result in a change of the company's controlling shareholder or actual controller. After the transfer is completed, the shareholding of actual controller Li Zhong and his concert parties will decrease from 23.52% to 17.84%. The company said the introduction of Gaoxin Agriculture is intended to accelerate the controlling shareholder's payment of the 178 million yuan owed from the previous transfer of 100% equity in its wholly-owned subsidiary Guangdong Xin Ying Food Technology Co., Ltd., and to optimize the equity governance structure. Guolian Aquatic reported a net loss attributable to the parent company of 1.631 billion yuan in 2025, the largest loss since its listing, with an asset-liability ratio as high as 96%. However, net cash flow from operating activities in 2025 and the first quarter of 2026 both increased by more than 250% year on year.
