Marvell Technology has granted Alphabet a warrant to purchase up to 58,970,907 shares at $206.58 per share, a deal valued at roughly $12.18 billion. The commercial agreement, disclosed August 19, covers AI inference accelerators, storage controllers, networking and memory-interface controllers, and near-memory computing tied to Google's TPU ecosystem, with a performance-based tranche linked to custom-product revenue through fiscal 2033. Marvell shares are up 179.61% year to date, and the company expects fiscal 2027 revenue near $11.5 billion and fiscal 2028 revenue near $16.5 billion, with custom revenue topping $10 billion in fiscal 2029. The warrant turns Alphabet from a customer into an aligned shareholder and validates Marvell's custom XPU strategy, though risks include customer concentration and an 80.61% year-over-year drop in GAAP net income.
