Nebius Group confirmed a $5 billion convertible bond offering on August 20, increasing the deal from an initial $4.5 billion and potentially reaching $5.75 billion if overallotment options are exercised. The company also disclosed a swap of $800 million of previously issued convertible notes for 15.8 million new shares, diluting existing holders by roughly 5.5%. Shares fell 10.03% to $223.51 on Wednesday and another 1.7% to $220.10 on Thursday, with trading volume at 129% above its three-month average. Nebius reported second quarter sales up 454% year over year to $582 million, while capital expenditures hit $5.7 billion and net loss was $190 million. This is Nebius's third capital raise this year, bringing total convertible debt to around $12 billion.
