Netlist, Inc.Samsung pays up to $898M in licensing fees, buys 10M shares, and signs supply deal.
Netlist has reached a comprehensive settlement with Samsung, entering a five-year patent cross license agreement under which Samsung gains access to Netlist's complete patent portfolio, including server DIMM and High Bandwidth Memory technologies. The deal could bring Netlist up to $898 million in patent licensing fees over five years, along with a strategic supply agreement where Samsung will supply up to $1.5 billion of DRAM and NAND products to Netlist. Samsung will also purchase 10 million shares of Netlist common stock. The settlement resolves pending litigation between the two companies before the U.S. ITC and in the Eastern District of Texas, though Netlist will continue defending its patents in other proceedings involving third parties.
