An extraordinary general meeting of NEX shareholders has approved the acquisition of a 100% stake in Thai EV Company Limited, or Thai EV, for a total value of 149.95 million baht. Payment will be made through newly issued NEX ordinary shares, not exceeding 208.27 million shares, at a price of 0.72 baht per share. Thai EV has been operating in the commercial electric vehicle business since 2017, with sales of four-wheel commercial EVs growing 100% between 2023 and 2025. This acquisition will help round out NEX's product portfolio, covering everything from small to large commercial vehicles, while expanding its customer base in logistics, freight transport, and both public and private sector projects. An independent financial advisor assessed the fair value of Thai EV using the discounted cash flow method at between 165.12 and 201.33 million baht, which is approximately 9 to 26 percent higher than the transaction value, and deemed the purchase price reasonable. The impact on existing shareholders is limited, with control dilution of approximately 3.36 percent, reducing EA's shareholding from around 77.77 percent to 75.16 percent, while it remains the clear controlling major shareholder of NEX.
