Nscale, a London-based developer of artificial intelligence data centers, raised $3.36 billion in a pre-IPO convertible loan note offering led by Third Point, with Nvidia, Apollo, Citadel, Hudson Bay Capital, Abu Dhabi Investment Council and 8090 Industries participating. The financing consists of a $2.36 billion tranche plus an additional $1 billion commitment from Nvidia, with funding expected in mid-November, and the notes convert into ordinary shares, or non-voting shares for Nvidia, upon completion of an IPO. The deal closes a week after Nscale filed for an initial public offering that may raise as much as $3 billion, according to people familiar with the matter. The offering was expected to be priced at the equivalent of the IPO price minus a double-digit percentage point discount, adjusted up to a $30 billion valuation, above which the conversion price remains the same. Goldman Sachs acted as placement agent, while Goldman Sachs, JPMorgan Chase and Morgan Stanley are leading the IPO alongside 19 other banks, with shares expected to trade on the New York Stock Exchange under the symbol NSCL. Nscale, spun off from a cryptocurrency mining operation in early 2024, counts Nvidia and Microsoft among its partners, and its board includes former Meta executives Sheryl Sandberg and Nick Clegg.
