OpenPayd shareholders would receive aggregate consideration based on a value of $800 million, and the deal could provide up to approximately $276 million in gross proceeds from Titan's trust account, assuming no redemptions. The business combination, approved by both companies' boards, is expected to close in the fourth quarter of 2026, subject to shareholder and regulatory approvals and a minimum aggregate transaction proceeds condition of $130 million.
