Discovery, and separately demanded those states post a $1.88 billion bond to cover potential losses from further delay. The merger has already won approval in 68 countries and from the US Justice Department, leaving the state lawsuit, led by California's attorney general Rob Bonta, as the last major hurdle. Paramount argues the states are inflicting harm without benefit to their constituents, while CEO David Ellison expressed confidence in the legal merits. The delay carries significant costs, including a ticking fee of about $650 million per quarter to Warner Bros. Discovery shareholders if the deal isn't closed by September 30, which could exceed $1.9 billion if the fight drags into June 2027. A federal judge previously blocked the merger temporarily in June and declined to require the states to post a bond, citing their role in enforcing important public interests.
