Graphic Packaging Holding CompanyClass action lawsuit alleging false statements about inventory, demand, and costs; stock dropped on earnings misses and guidance cuts.

Pomerantz LLP has filed a class action lawsuit against Graphic Packaging Holding Company and certain former officers. The suit, filed in the United States District Court for the Southern District of New York, represents investors who purchased Graphic Packaging securities between February 4, 2025 and February 2, 2026, and seeks damages for alleged violations of federal securities laws. The complaint claims that throughout the class period, defendants made materially false and misleading statements about the company's business, operations, and prospects, including downplaying significant inventory management issues, reduced demand, and increased costs, while overstating the strength of its business model. The truth began to emerge on May 1, 2025, when Graphic Packaging reported first-quarter results that missed estimates and sharply lowered its full-year guidance, causing the stock to drop 15.57%. Further disclosures on December 8, 2025, including accelerated inventory reduction plans and the departure of CEO Michael P. Doss, led to an 8.66% decline, and on February 3, 2026, disappointing fourth-quarter results and a weak 2026 outlook sent shares down another 15.97%. Investors have until July 6, 2026 to seek appointment as lead plaintiff.
