Rainier Acquisition Corporation closed its $75 million IPO, a financing event for the SPAC itself.
Rainier Acquisition Corporation, a special purpose acquisition company focused on the global life sciences industries, announced the closing of its initial public offering of 7,500,000 units at $10.00 per unit, generating gross proceeds of $75,000,000. Each unit consists of one Class A ordinary share and one-quarter of one redeemable warrant, with each whole warrant entitling the holder to purchase one Class A ordinary share at $11.50 per share. The units began trading on the Nasdaq Capital Market on August 27, 2026, under the ticker symbol "RNAQU," and the Class A ordinary shares and warrants are expected to list separately under "RNAQ" and "RNAQW," respectively. Chardan acted as the sole book-running manager, and the underwriter has a 45-day option to purchase up to an additional 1,125,000 units to cover over-allotments. The offering was made pursuant to a prospectus, and the registration statement was declared effective by the SEC on August 26, 2026.
