Robbins Geller Rudman & Dowd LLP has filed a class action lawsuit against GPGI, Inc., formerly known as CompoSecure, Inc., on behalf of purchasers of GPGI Class A common stock between November 3, 2025 and May 6, 2026. The lawsuit alleges that GPGI and certain executives made false and misleading statements about the acquisition of Husky Technologies Limited, overstating Husky's value and financial prospects while failing to disclose that a primary motivation was to generate fees for Resolute Holdings and individual defendants. The complaint points to a 16% stock drop over two trading days following March 12, 2026 earnings that revealed Husky's Pro Forma Adjusted EBITDA margins compressed by 318 basis points, and a further nearly 26% decline after May 7, 2026 results showed Husky's Pro Forma Adjusted EBITDA fell 40.2% year-over-year and full-year guidance was cut.
