Silver Bow Mining has signed a definitive asset purchase agreement to acquire the Jefferson County Metallurgical Complex in Montana from Montana Goldfields and Montana Tunnels Mining. The deal covers an integrated metallurgical facility with two mineral processing circuits, infrastructure, and the historic Montana Tunnels M-Pit on a roughly 5,000-acre site, including separate 15,000 tonne per day and 1,000 tonne per day milling and flotation circuits. Silver Bow will pay approximately $28.6 million in cash to settle creditor claims, including about $4.27 million to Jefferson County and $20.8 million to the Montana Department of Environmental Quality, and will issue 3,500,000 contingent value rights, each convertible into one common share 180 days after closing. The acquisition is being made through a Chapter 11 sale by Montana Tunnels Mining and requires approval from the US Bankruptcy Court for the District of Montana, shareholder approval for the CVRs and underlying shares, and NYSE American listing approval. Silver Bow is evaluating development options for its Rainbow Block Project, which hosts an inferred mineral resource of 11.48 million tonnes grading 14.8 ounces per tonne silver equivalent, and the transaction includes a 2% net smelter return royalty and 50% net profits interests tied to future production.
