Simat Technology Public Company Limited, or SIMAT, informed the Stock Exchange of Thailand that its board of directors, at its 5/2569 meeting on September 1, 2026, approved the sale of 2,200,000 ordinary shares of Simat Health Company Limited, or SMH, a subsidiary, representing 40% of all shares, to Mr. Apisit Hongsalawat, who is not a connected person of the company, at 10 baht per share, for a total value of 22 million baht. After the transaction, SIMAT's shareholding in SMH will decrease from 70%, or 3.849 million shares, to 30%, or 1.649 million shares, causing SMH to cease being a subsidiary and to change its status to an associate of SIMAT. SMH has registered and paid-up capital of 55 million baht and operates a medical laboratory business, including the sale, rental, and servicing of X-ray machines, computed tomography scanners, and radiology medical equipment. SIMAT stated that the purpose of the transaction is to improve the efficiency of its business structure, manage risk, revise its business plan, and raise funds to support investment and business expansion.
