Space Exploration Technologies Corp. Class A Common StockPlans $20B bond issuance after IPO, increasing debt and diluting shareholder priority

Space Exploration Technologies, also known as SpaceX, is planning to issue $20 billion worth of unsecured notes just two weeks after its record-breaking $86 billion initial public offering. The company said it will use the proceeds to pay off a bridge loan due in September 2027, with any remainder going to general corporate purposes. The notes rank equally with all existing and future unsubordinated indebtedness, placing them ahead of shareholders in payment priority. SpaceX has already announced two deals since the IPO, including the acquisition of AI coding company Cursor and a $6 billion data center rental agreement with open-source model company Reflection AI. The company reported a $2.5 billion loss on $818 million in sales in the first quarter, with $10 billion in capital expenditures, as it invests heavily in its AI segment.
