Shenzhen Sunwin IntelligentControlling shareholder's shares subject to judicial enforcement due to loan dispute, company has negative net assets and delisting risk warning.

ST Sunwin announced that 10 million unrestricted tradable shares held by its controlling shareholder and actual controller Zhou Yong will be subject to judicial enforcement, accounting for 15.52 percent of his holdings and 1.31 percent of the company's total share capital. The enforcement stems from a loan contract dispute involving Shenzhen Zhaoping Topology No. 4 Investment Partnership and Zhou Xinhong, Zhou Yong, and others. As the parties subject to enforcement failed to fulfill obligations determined by effective legal documents, the Nanshan District Court ruled to auction, sell, or compulsorily sell the above shares to settle the debts. The company's audited net assets for 2025 were negative, and it has been placed under delisting risk warning. Moreover, its net profits before and after deducting non-recurring items have been negative for the last three fiscal years, and it continues to be under other risk warnings. The company has signed a pre-restructuring investment agreement, but there is a risk that it cannot be performed.
