StrikePoint Gold Inc. has closed its previously announced bought deal private placement of subscription receipts, raising aggregate gross proceeds of $190 million to fund the acquisition and exploration of the Northumberland Gold Project in Nevada. The offering, led by Canaccord Genuity Corp. as sole underwriter, involved the issuance of 95 million subscription receipts at $2.00 each by subsidiary 1599042 B.C. Ltd. The net proceeds will be used to satisfy the cash component for the acquisition from Newmont Corporation, advance exploration and development at Northumberland, and for general corporate purposes. Tembo Capital purchased 20.3 million subscription receipts and, upon conversion, will hold approximately 19.9% of StrikePoint's shares, with rights to nominate a board representative and a technical committee member. Additionally, StrikePoint agreed to sell Tembo a 0.5% net smelter return royalty over Northumberland for US$10 million, with an option to buy back half for US$25 million. The subscription receipts will convert into shares upon satisfaction of escrow release conditions, including completion of the acquisition, by October 24, 2026.
