Super Micro Computer IncDilutive equity and convertible note offering of ~$50B at deeply discounted price, plus additional ATM program

Super Micro Computer shares fell 36.4% in June after the AI server maker announced a $7 billion capital raise and more employees were arrested in Taiwan over alleged illegal exports to China. The company sold $1.25 billion in equity at $27.50 per share and issued $3.75 billion in convertible notes with a 7% dividend and strike prices between $30.30 and $36.36, alongside a $2 million at-the-market program. The dilution came despite Super Micro reporting $39 billion in recent orders, roughly equal to its prior full-year revenue forecast. Late in the month, Taiwanese authorities raided Super Micro's offices and detained four employees, though the company said it was not a target and had been cooperating with the government to stop smuggling.
