Super Micro Computer has completed a $7 billion financing package to support its AI server business. The funding includes a $1.25 billion common equity offering and a $3.75 billion Series A Mandatory Convertible Preferred Stock issue with a 7.00% cumulative dividend, alongside an at-the-market program for future equity raises. Proceeds are intended to help the company work through a reported $39 billion backlog of AI server orders from more than 20 customers. The mandatory convertible preferred shares will convert into common stock in 2029, introducing potential dilution for existing shareholders. The deal comes as the company faces governance and regulatory scrutiny, including export control reviews and an auditor departure.
