Tinavi plans to acquire a 62% equity stake in Shanghai Minimally Invasive Orthopedics Medical Technology Co., Ltd. through a share issuance, along with raising matching funds. The deal is expected to constitute a major asset restructuring. Trading in the company’s shares will resume on July 30. Founded in 2009, Shanghai Minimally Invasive Orthopedics is mainly engaged in the research, development, production, and sales of medical devices such as joint implants. Its flagship product, the medial pivot knee, has been implanted in over one million cases worldwide. Tinavi stated that this transaction will fill gaps in its orthopedic implant product matrix and complete its integrated business layout of robots plus implants. The two parties will create synergies in product lines, channels, research and development, and clinical applications. The transaction will not result in a change of the company’s actual controller. The controlling shareholder and actual controller remains Zhang Songgen. On the last trading day before the suspension, Tinavi closed at 19.09 yuan per share, up 8 percent.
