Transocean has announced an all-stock agreement to acquire offshore driller Valaris. The deal structure and valuation are drawing legal scrutiny focused on whether Valaris shareholders are receiving fair consideration. The proposed acquisition would materially change Transocean's profile by enlarging its offshore drilling fleet and bringing in almost US$4.9 billion of additional backlog, on top of the roughly US$7.1 billion already secured.
