Vertiv Holdings Co has signed a definitive agreement to acquire Utility Innovation Holdings, Inc., which operates as UtilityInnovation Group, for up to $2.6 billion. The deal includes approximately $1.45 billion in cash at closing and up to $1.15 billion in contingent consideration if UIG meets specified EBITDA targets over 12- and 24-month periods. At the upfront price, the acquisition represents about 13 times expected UIG 2027 EBITDA, a multiple that Vertiv expects to decline if the full earnout is paid. The acquisition is expected to close in the fourth quarter of 2026, subject to regulatory approvals. UIG provides microgrid controls, onsite generation, and energy-storage orchestration, which Vertiv says will help address power constraints in AI data-center construction.
