Under the proposed deal, the counterparty's shareholders would own about 97.1% of the combined company, while existing Vision Marine securityholders would retain about 2.9%, potentially rising to 5.7% if contingent milestones are met. The parties aim to sign definitive agreements by October 15 and close by December 31, 2026, with closing requiring at least $25 million in financing and the counterparty securing at least $100 million in binding 2027 purchase orders. The $100 million purchase-order requirement is a future closing condition, not current backlog or guaranteed revenue. The combined company is intended to remain listed on Nasdaq, and Vision Marine's stock price dropped about 1.6% in Monday pre-market trade.
