O-film clarifies allegations of actual controller hollowing out listed company, says it has reported the case to protect its rights

O-film issued a clarification announcement, denying point by point the online whistleblower report that actual controller Cai Rongjun hollowed out the listed company's assets through off-book entities. The announcement stressed that the company's transactions with Xinfeiguang and Xinsikao were fairly priced, and there were no instances of benefit transfer, free technology transfer, or fund misappropriation. It has also sent retraction notice letters to relevant media and reported the case. Specifically, O-film stated that its research and development focuses on its own business and it has not shared technology with Xinfeiguang or Xinsikao. In the past three years, it had only one transaction with Xinfeiguang, a factory rental deal worth 1.2348 million yuan. The amount of motor products purchased from Xinsikao in the past three years was approximately 324 million yuan, 432 million yuan, and 595 million yuan respectively, but the pricing was dominated by end customers and the company does not control pricing power. Previously, the company estimated a net loss attributable to the parent company of 360 million to 460 million yuan for the first half of 2026, affected by factors such as rising memory chip prices and weakening downstream demand.

O-Film Clarifies It Did Not Suppress Prices or Transfer Profits to Companies Controlled by Its Actual Controller

O-Film issued an announcement to clarify media reports titled "O-Film Reported! Actual Controller Cai Rongjun Accused of Setting Up Off-Balance-Sheet Companies to Hollow Out Listed Company Assets." The company stated that it differs from Xinfeiguang and Xinsikao, which are controlled by actual controller Cai Rongjun, in terms of research and development objectives, technical routes, and product application scenarios. There is no sharing or common use of R&D technologies and patents, nor is there any situation where the company bears the risk of R&D losses while mature processes are directly reused without reasonable authorization for Xinfeiguang's optical module products. The company has not produced or contract-manufactured optical module components or other products mentioned in the reports for Xinfeiguang. There is no artificial suppression of component prices or transfer of profits to Xinfeiguang, nor is there any situation where the core VCM motor business was spun off from O-Film in earlier years, with O-Film bearing all R&D costs while the high-margin business went to Xinsikao. The company stated that the relevant reports are online rumors, and it has sent a retraction notice to the relevant media, demanding the removal of false reports and cessation of dissemination. It has also reported the false reports and misleading information to the police and will pursue legal liability in accordance with the law.

O-Film appoints post-90s Li Yin as board secretary, first-half loss expected to exceed 360 million yuan

O-Film announced the appointment of Li Yin, born in 1991, as vice president and board secretary, succeeding Zhou Liang, who resigned due to job adjustments. Li previously served as vice president and board secretary at Xiangfenghua and Kexin Technology, joined O-Film in July 2026, and holds no company shares. The personnel change comes as the company faces performance pressure, with an estimated first-half net loss attributable to the parent of 360 million to 460 million yuan, and a non-recurring net loss of 376 million to 476 million yuan, mainly due to rising memory chip prices, weakening downstream demand, and reduced government subsidies. The company's non-recurring net profit has been negative for six consecutive years, with cumulative losses approaching 10 billion yuan since being removed from Apple's supply chain in 2020. As of the close on August 6, O-Film shares traded at 7.99 yuan per share, down about 25 percent year-to-date, with a total market value of approximately 27.93 billion yuan.
