Macalline plans to issue CMBS backed by Wenshui Road mall to raise 2.4 billion yuan

Macalline plans to use the Red Star Macalline Shanghai Wenshui Road mall in Baoshan District as the underlying asset to issue asset-backed securities of up to 2.4 billion yuan. The special plan has a term of no more than 18 years, and the funds raised will be used to repay existing liabilities on the underlying asset and to supplement working capital. The underlying asset is held by the controlled subsidiary Shanhai Artist Furniture, with a gross floor area of 139,500 square meters. In 2025, it achieved operating revenue of 158 million yuan and net profit of 29.91 million yuan. The product is divided into senior and subordinated tranches, with the senior tranche of up to 2.34 billion yuan offered to professional institutional investors, and the subordinated tranche of up to 60 million yuan subscribed by Macalline. The controlling shareholder, C&D Inc., acts as the deficiency payment provider and put option provider, providing credit enhancement for the senior securities.

Macalline expects to swing to profit in first half as investment property impairment losses narrow sharply

Macalline issued a performance forecast, expecting net profit attributable to shareholders of the listed company for the first half to be between 50 million and 75 million yuan, swinging to a profit compared with the same period last year. In the same period last year, the company's total profit was negative 1.986 billion yuan, and net profit attributable to shareholders of the listed company was negative 1.9 billion yuan. The company said occupancy rates at self-operated malls are gradually stabilizing, period expenses have fallen significantly, the operating quality of individual malls has improved notably, and both profitability and cash flow have improved. At the same time, losses from changes in the fair value of investment properties and related asset impairment losses narrowed sharply year-on-year. In 2025, Macalline's operating revenue was 6.582 billion yuan, down 15.85 percent year-on-year, and net loss attributable to shareholders of the listed company was 23.722 billion yuan, dragging controlling shareholder C&D Inc. to a net loss attributable to the parent of 10.81 billion yuan in 2025.
