Zhongheng Group plans to repurchase and cancel shares for 100 million to 200 million yuan

Zhongheng Group announced that it intends to use its own funds or self-raised funds to repurchase part of the company's A-shares through centralized bidding. The total repurchase amount will be no less than 100 million yuan and no more than 200 million yuan, with a repurchase price not exceeding 3.04 yuan per share. Based on this price ceiling, the estimated number of shares to be repurchased is between 32.8947 million and 65.7895 million shares, accounting for approximately 1.03% to 2.07% of the company's total share capital. This repurchase plan was reviewed and approved at the 44th meeting of the company's 10th board of directors on July 6, 2026, and at the third extraordinary shareholders' meeting of 2026 on July 24. The repurchase period shall not exceed six months from the date of approval by the shareholders' meeting, and all repurchased shares will be used for cancellation and reduction of the company's registered capital. The company stated that, based on confidence in future sustainable development and recognition of intrinsic value, and given that the current share price can no longer truly reflect the company's investment value, it has decided to implement this repurchase in order to effectively safeguard the company's value and the legitimate rights and interests of investors, enhance long-term investment value, and strengthen investor confidence.

Zhongheng Group announced that its controlling subsidiary, Chongqing Lummy Pharmaceutical Co., Ltd., has received the Drug Registration Certificate for Acetylcysteine Solution for Inhalation issued by the National Medical Products Administration. The drug specification is 3ml:0.3g, and the approval number is valid until August 3, 2031. It was developed using Zambon S.p.A.'s Fluimucil as the reference listed drug, and is indicated for respiratory diseases caused by excessive thick mucus secretions. Zhongheng Group's controlling subsidiary, Chongqing Lummy Pharmaceutical, plans to acquire the drug registration approval and all global commercial rights for Vitamin D soft capsules from Jiangxi Tianzhihai Pharmaceutical for 28 million yuan. The product is a 0.25 milligram, or 10,000 unit, Vitamin D soft capsule used for preventing or treating diseases related to Vitamin D deficiency. According to data from Morningside Healthcare, from 2023 to 2025, the product's total hospital sales were 1.028 billion yuan, 1.265 billion yuan, and 1.766 billion yuan respectively, while brick-and-mortar pharmacy sales over the same period were 310 million yuan, 283 million yuan, and 310 million yuan. This transaction does not include the national distribution rights already held by Lummy Pharmaceutical's wholly-owned subsidiary, Chongqing Lummy Medical. As of the valuation date of November 30, 2025, the investment value assessed using the income approach was 28.1887 million yuan. After the transaction, Lummy Pharmaceutical will achieve full-chain integration of the product, further enriching its product line and enhancing market competitiveness.
