Zhiyang Innovation plans private placement to raise up to 904 million yuan to boost artificial intelligence

Zhiyang Innovation announced on the evening of August 14 that it plans to issue shares to specific investors to raise no more than 904 million yuan. After deducting issuance expenses, the funds will be used for research and development projects in multi-domain embodied intelligence and artificial intelligence agents, research and development projects for intelligent sensing terminals and their analysis management platforms, industrial upgrading and renovation of all-domain artificial intelligence sensing terminals and supporting energy facilities, as well as replenishing working capital and repaying interest-bearing debt. The company said the first two research and development projects will enhance its research and development capabilities in embodied artificial intelligence software and hardware, as well as sensing technologies such as SPAD, radar-vision fusion, and fiber optic sensing, building technological barriers for market competition. The industrial upgrading and renovation project will comprehensively update existing production lines, improve automated production and intelligent manufacturing levels, and meet demand in newly expanded areas such as water conservancy and rail transit. Part of the raised funds will be used to replenish working capital and repay interest-bearing debt, in order to cope with raw material procurement and manufacturing investment brought by business scale growth, as well as the high research and development investment needs of the artificial intelligence industry. In the first quarter, Zhiyang Innovation reported operating revenue of 149 million yuan, up 9.11 percent year on year, and a net loss attributable to the parent company of 11.1784 million yuan.

Zhiyang Innovation responds to SSE: procurement cash payments rose 18 percentage points faster than sales collections, causing operating cash flow to plunge 76%

Zhiyang Innovation replied to a Shanghai Stock Exchange inquiry letter, stating that net operating cash flow in 2025 fell sharply by 76.04% year-on-year to 17.5264 million yuan, mainly because the growth rate of cash payments for procurement exceeded that of sales collections by 18.23 percentage points, along with increased raw material stockpiling and labour costs. The company's operating revenue in 2025 rose 21.69% year-on-year to 1.181 billion yuan, but cash paid for purchasing goods and receiving services grew 28.72% year-on-year, with the collection and payment structure showing a short procurement payment cycle and a long sales collection cycle. At the end of the period, the book balance of accounts receivable was 803 million yuan, accounting for 61.54% of revenue, of which accounts receivable over one year old amounted to 261 million yuan, up 39.28% year-on-year. Overall gross margin declined for three consecutive years to 28.98%, and the gross margin of artificial intelligence solutions for the water conservancy industry fell by 15.32 percentage points year-on-year to 39.01%, mainly due to rising hardware procurement costs, increased project implementation expenses, and intensifying competition.
