Rendu Bio's controlling shareholder changes to Haijing Pharmaceutical, actual controller changes to Zhang Xiantao

Rendu Bio announced that the transfer of shares by agreement by its controlling shareholder and actual controller has completed registration. The company's controlling shareholder has changed from Ju Jinliang to Nanjing Haijing Pharmaceutical Co., Ltd., and the actual controller has changed to Zhang Xiantao. On May 14, 2026, Ju Jinliang and related parties signed a share transfer agreement with Haijing Pharmaceutical, transferring a total of 8.52 million unrestricted tradable shares, representing 21.25% of the company's total share capital. The transfer was completed on August 12, 2026. After the transfer, Ju Jinliang committed not to transfer the remaining shares within 36 months and to waive part of the voting rights. Haijing Pharmaceutical committed not to inject its own assets into the listed company within the next 12 months.
