20/20 BioLabs has entered into a standstill agreement with Streeterville Capital that temporarily restricts conversions of its Series E Convertible Preferred Stock into common stock below a defined price threshold, mitigating potential near-term dilution. Under the agreement effective July 16, 2026, Streeterville agreed not to convert any Series E preferred shares during a 120-day period unless the common stock trades at least 10% above the Minimum Price as defined under Nasdaq Rule 5635. The standstill terminates immediately upon any breach of the agreement or an event of default under the Series E preferred stock terms. Upon expiration or termination, Streeterville may resume conversions according to the original transaction documents, which otherwise remain in full force and effect.
