Boxlight announces 1-for-6 reverse stock split effective June 22

Boxlight Corporation has approved a 1-for-6 reverse stock split of its Class A common stock, effective at 9:30 a.m. Eastern Time on June 22, 2026. The move is intended to lift the closing bid price above $1.00 per share and help the company maintain compliance with Nasdaq Listing Rule 5550(a)(2). Every six shares of Class A common stock will be automatically reclassified into one new share, with the total authorized shares reduced from 4,166,667 to 694,445, while the par value remains unchanged at $0.0001 per share. Proportionate adjustments will be made to outstanding equity awards, warrants, and the conversion factor for convertible preferred stock, and no fractional shares will be issued, with any fractional amounts rounded up to the nearest whole share. The stock will continue trading on Nasdaq under the symbol BOXL on a split-adjusted basis.
