Critical Metals and European Lithium amend merger implementation mechanics

Critical Metals and European Lithium have amended their Scheme Implementation Deed for Critical Metals' proposed acquisition of European Lithium, modifying specific implementation mechanics while keeping existing commercial and economic terms intact. European Lithium shareholders and listed optionholders holding 50,000 or fewer European Lithium shares or listed options on the applicable record date will be eligible to participate in a sale facility, through which an appointed agent will sell the Critical Metals common shares on the open market and distribute the net cash proceeds to eligible holders in lieu of the shares. The companies continue to work toward satisfying remaining conditions to complete the transaction, with European Lithium expecting to distribute its Scheme Booklet, including an Independent Expert's Report, in late July or early August 2026. Upon completion, existing European Lithium shareholders are expected to own approximately 41% of the outstanding common shares of the combined company.

Critical Metals begins 10,000m diamond drilling at Tanbreez rare earth project

Critical Metals has commenced a 10,000-metre diamond drilling programme at its wholly owned Tanbreez Rare Earth Project in southern Greenland. The drilling targets key mineralised zones identified in earlier exploration and is intended to support resource growth, geological modelling, mine planning, and future development. Essential accommodation and operational support infrastructure has been completed, with contractors and drill rigs now positioned across target areas. Field teams will spend the next two to three weeks verifying ground conditions and marking blast sites, while ongoing tasks include geological mapping, surface verification, and environmental monitoring. Data from the 2026 campaign is expected to underpin resource updates and feasibility studies for what the company describes as one of the largest undeveloped rare earth projects globally, with significant concentrations of heavy rare earth elements used in permanent magnets, electric vehicles, and defence systems.
