Femasys enters $30 million private placement with up to $90 million potential proceeds

Femasys Inc. has entered into a securities purchase agreement for a $30 million private placement of shares and warrants led by Nantahala Capital. The company is selling 9.37 million shares of common stock and prefunded warrants, along with accompanying warrants to purchase up to 18.75 million shares, at $3.20 per share and accompanying warrants or $3.1999 per prefunded warrant and accompanying warrants. The accompanying warrants have an exercise price of $2.95 per share, and upon full cash exercise, Femasys could receive up to an additional $60 million, bringing total potential proceeds to $90 million. The financing is expected to close on or around August 10, 2026, and will support the company's fertility portfolio launch to U.S. OB/GYNs and the advancement of its FemBloc clinical program. Femasys stock closed Friday at $2.66, down 10.74%, and fell a further 3.76% in after-hours trading.
