Fine Metal Technologies Public Company Limited, or FMT, is set for a change in its major shareholder after Hong Kong GD Trading Company Limited acquired 20,280,280 ordinary shares from CTJ Holdings2 Ltd., representing 42.25% of total issued shares, at a price of 18.00 baht per share, for a total value of approximately 365.05 million baht. Following this acquisition, the offeror is required to make a tender offer for all remaining shares of the company under the regulations of the Securities and Exchange Commission. For this tender offer, the offeror plans to purchase all remaining 27,719,720 ordinary shares, or 57.75% of total shares, at 18.00 baht per share, bringing the value of the remaining offer to approximately 498.95 million baht. The formal tender offer can be submitted on 10 August 2026 after completing the relevant procedures. This transaction stems from a share purchase agreement signed on 24 December 2025, under which the parties shall use their best efforts to close the transaction by 30 June 2026, with a possible extension to 31 August 2026 if necessary. After the transaction closes, the board of directors will be restructured, with five existing directors resigning and new directors appointed as nominated by the offeror, along with new executives, to accommodate the changes in shareholding structure and company management.
