Longeveron announces 1-for-10 reverse stock split

Longeveron Inc. announced a 1-for-10 reverse stock split of its Class A and Class B common stock, effective at 11:59 p.m. Eastern Time on August 26, 2026. The split was approved by stockholders on July 1, 2026 and by the board on July 31, 2026, and the Class A shares are expected to begin trading on a split-adjusted basis on Nasdaq on August 27, 2026 under the existing ticker LGVN. The move is intended to raise the per-share price to regain compliance with Nasdaq's $1.00 minimum bid requirement. The reverse split will reduce outstanding Class A shares from approximately 30,432,974 to approximately 3,043,298, and Class B shares from approximately 1,449,005 to approximately 144,901, with no fractional shares issued and any fractional interests rounded up at the DTC participant level. Longeveron’s Laromestrocel Reduced Neuroinflammation in Alzheimer’s Patients, Phase 2a Data Show

Longeveron announced that its cellular therapy laromestrocel reduced neuroinflammation in patients with mild Alzheimer’s disease, according to new post-hoc analysis of Phase 2a trial data presented at the 2026 Alzheimer’s Association International Conference. The poster presentation showed that free water, an MRI marker of brain inflammation, rose in the placebo group over 39 weeks but was numerically reduced in all laromestrocel treatment groups, with the anti-inflammatory effect most prominent in the hippocampus, temporal lobe, and other Alzheimer’s-associated regions. The reduction in free water correlated with increased brain volume and improved cognitive and quality of life scores. Blood biomarker analysis indicated a reduction in neurogranin, a marker of neuronal degradation, and an increase in the anti-inflammatory cytokine IL-13 in treated patients. Longeveron has received U.S. FDA Regenerative Medicine Advanced Therapy designation for its Alzheimer’s program and has aligned on a Phase 3 study design.
