Netcapital Inc. Granted Additional 180-Day Nasdaq Compliance Period for Minimum Bid Price

Netcapital Inc. has received an additional 180 calendar days from Nasdaq to regain compliance with the minimum $1.00 bid price requirement. The extension, granted by Nasdaq Staff, runs until February 1, 2027, and has no immediate effect on the listing or trading of the company's common stock on The Nasdaq Capital Market under the symbol NCPL. The company was initially notified on February 4, 2026, that its stock had fallen below the $1.00 threshold for 30 consecutive business days and was given until August 3, 2026, to regain compliance, which it did not achieve. Nasdaq granted the additional period because Netcapital meets the continued listing requirement for market value of publicly held shares and all other applicable initial listing requirements for The Nasdaq Capital Market, except the bid price, and has provided written notice of its intention to cure the deficiency, including through a reverse stock split if necessary. To regain compliance, the closing bid price must be at least $1.00 per share for at least 10 consecutive business days, though Nasdaq may require a longer period of up to 20 consecutive business days. If compliance is not regained by February 1, 2027, Nasdaq is expected to issue a delisting determination, and any hearing request would not stay a trading suspension.
