Exicure announced changes to its Board of Directors and committees following a special meeting on June 24, 2026. The Board accepted the resignation of Jung Kyu Ham as a director, effective June 30, 2026. Jin Young Go was appointed as a Class III director to fill the vacancy, and the Board increased its size from five to six directors, appointing Eui Seok Han as an additional Class III director, both effective June 30, 2026. The Board determined that Eui Seok Han qualifies as an independent director under Nasdaq Listing Rules, maintaining a majority of independent directors. The Audit Committee will continue to consist of Yoon Tae Han as Chair, along with Dongho Lee and Gyeong Seog Cheon, while a new Compensation Committee was established with Eui Seok Han as Chair and Dongho Lee as a member, effective June 30, 2026.
