YY Group acquires 95% stake in Singapore distributor Xtreme Solutions for S$4.5 million

YY Group Holding Limited has completed the acquisition of a 95% interest in Singapore-incorporated distributor Xtreme Solutions Pte. Ltd. for a total consideration of 4.5 million Singapore dollars, approximately 3.5 million US dollars, payable through 0.9 million Singapore dollars in cash and Class A ordinary shares valued at 3.6 million Singapore dollars subject to a 12-month lock-up period. Based on unaudited financial statements, the target generated revenue of approximately 6.0 million Singapore dollars and net profit of approximately 600,000 Singapore dollars in its financial year ended March 31, 2026. The bolt-on acquisition is expected to be accretive to YY Group's revenue and net profit in the first full quarter following completion. YY Group plans to modernize the target's digital sales channel through its subsidiary MediaPlus Venture Group and expand the business into overseas markets using its YY Circle platform, which has more than 500,000 members.

YY Group stock falls 40% as it implements 30-for-1 reverse stock split

YY Group Holding shares fell 40% to $0.08 on Thursday after the company announced it will implement a 30-for-1 reverse stock split effective June 23. The reverse split will reduce the number of outstanding Class A shares to about 3.2 million from roughly 96.05 million, while leaving shareholders' proportional ownership unchanged. The company said the move is intended to help it regain compliance with Nasdaq's $1 minimum bid price requirement. Shares will continue trading under the ticker symbol YYGH.
