Alcoa Corporation announced a proposed offering of $2,600,000,000 aggregate principal amount of senior notes to finance the cash portion of its acquisition of South32's bauxite, alumina, and aluminum assets. The notes, consisting of senior notes due 2034 and 2036, will be issued by Alumina Pty Ltd and Alcoa Nederland Holding B.V., both wholly-owned subsidiaries of Alcoa, and will be guaranteed by Alcoa and certain subsidiaries. The proceeds, together with cash on hand, will fund the approximately $3.1 billion cash consideration for the acquisition, which is subject to shareholder and regulatory approvals. Alcoa expects to terminate its bridge loan facility upon completion of the offering.
