Genius Group LtdPlans $1.2B capital raise for AI and Bitcoin treasuries, potentially boosting NAV.

Genius Group, a Singapore-based education technology company, announced plans to raise capital as part of a $1.2 billion strategy to expand its AI and Bitcoin treasuries. The company is considering issuing perpetual preferred securities, with an initial raise of $12.5 million, and has set targets of $800 million for its AI Treasury and $827 million for its Bitcoin Treasury, aiming for $2 billion in total assets by 2031. Proceeds will be split between AI investments, Bitcoin holdings, and a U.S. dollar reserve covering about 18 months of preferred dividends. Genius Group has begun talks with investment banks specializing in preferred securities and digital asset financing, though final terms are undecided. CEO Roger James Hamilton said that preferred capital generating returns above the dividend rate would directly benefit ordinary shareholders' net asset value. The company currently reports $106.6 million in net assets and a net asset value of $0.62 per share, with shares closing at $0.18 on August 26 and up 8% today. Shareholders approved the Bitcoin strategy in November 2024 and the AI Treasury in May 2026, with plans to resume Bitcoin purchases in Q4 2026 and deploy up to $100 million into AI investments.
