WISeKey International Holding Ltd. shareholders approved the company's redomiciliation from Switzerland to the British Virgin Islands at an Extraordinary General Meeting held on September 9, 2026. Shareholders backed the merger agreement dated June 26, 2026 between WISeKey and WISeKey International Corp., a British Virgin Islands business company and wholly owned subsidiary of WISeKey, under which WISeKey will merge into WISeKey BVI, with WISeKey BVI as the surviving company. Upon completion, the domicile of WISeKey's group holding company will be in the British Virgin Islands instead of Switzerland, and WISeKey BVI will become the publicly traded parent company of the WISeKey group. The company said the shareholder approval is an important milestone toward completion of the merger and that it will now proceed with the remaining steps, which remain subject to the satisfaction of applicable closing conditions. Chairman and CEO Carlos Moreira thanked shareholders for their support, saying the approval allows WISeKey to move forward with the redomiciliation and a corporate structure designed to support its continued international growth and access to global capital markets.
