WISeKey files registration statement with SEC for proposed redomiciliation to British Virgin Islands

WISeKey International Holding Ltd has filed a registration statement on Form F-4 with the U.S. Securities and Exchange Commission in connection with its proposed redomiciliation from Switzerland to the British Virgin Islands. The filing was made on July 16, 2026 by WISeKey International Corp., a British Virgin Islands company and wholly owned subsidiary of WISeKey, and includes a preliminary prospectus for the merger of WISeKey into that subsidiary, which would then become the publicly traded parent company of the group. The proposed merger remains subject to shareholder approval at an extraordinary general meeting expected on September 9, 2026, as well as SEC effectiveness, Nasdaq and SIX Swiss Exchange listing authorizations, Swiss Takeover Board confirmation, and other conditions. WISeKey shareholders will receive access to the merger agreement, merger report, audit confirmation, and financial statements no later than 30 days before the meeting.
